Terms of Service

By accessing rayee.sg or any related Rayee service, or by signing up for an account, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.
2. Description of Service
Rayee provides a SaaS platform for workforce management, including:
- GPS-based worker time tracking via mobile web application.
- Payroll calculation and reporting.
- Payslip delivery via WhatsApp Cloud API.
- Administrative dashboard for managing workers, sites, and payroll runs.
3. Account Registration and Responsibilities
To use Rayee, you must register an account. You agree to:
- Provide accurate and complete registration information.
- Maintain the security of your account credentials (password, API keys).
- Promptly notify us of any unauthorised account access.
- Accept responsibility for all activities that occur under your account.
4. Subscription and Payment
Subscription fees are billed monthly or annually in advance, in Singapore Dollars (SGD), exclusive of GST. All fees are non-refundable except as required by Singapore law. We reserve the right to change subscription fees with 30 days' written notice; continued use after the notice period constitutes acceptance of the new fees.
5. Acceptable Use
You agree not to:
- Use Rayee for any unlawful purpose or in violation of Singapore law.
- Upload or process personal data of individuals without proper consent under PDPA.
- Reverse-engineer, decompile, or attempt to extract source code from our services.
- Interfere with or disrupt the integrity or performance of our services.
- Attempt to gain unauthorised access to any part of the service or related systems.
6. Data and Privacy
Your use of Rayee is also governed by our Privacy Policy. By using the service, you consent to the data practices described in the Privacy Policy, including the collection, use, and disclosure of personal data as set out therein.
7. Intellectual Property
All content, features, and functionality of Rayee (including but not limited to software, text, graphics, logos, and trademarks) are owned by Rayee and protected by Singapore and international copyright, trademark, and other intellectual property laws.
8. Service Availability
We strive to maintain 99.5% monthly uptime for the Rayee platform but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance via email or in-product notification. We are not liable for service interruptions caused by factors outside our reasonable control, including but not limited to internet outages, force majeure, or third-party service failures.
9. Termination
Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate your account immediately, without prior notice, if:
- You breach these Terms.
- Your payment fails and is not remedied within 14 days.
- We are required to do so by law.
Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days after termination to allow data export; thereafter, data will be deleted in accordance with our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by Singapore law, Rayee's total aggregate liability for any claim arising under these Terms shall not exceed the subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim. Rayee shall not be liable for any indirect, incidental, special, or consequential damages.
11. Indemnification
You agree to indemnify and hold harmless Rayee, its directors, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your use of the service, or your violation of any law or third-party right.
12. Governing Law and Disputes
These Terms are governed by the laws of Singapore. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice via email or in-product notification. Continued use of the service after the effective date of the changes constitutes acceptance of the new Terms.
